B-SCHOOL TERMS & CONDITIONS


[ b ] school ("B-School") is a social networking service designed to change the way photographers connect on the internet. By subscribing to B-School and becoming a Registered Member ("You" or "Member,") agrees to be bound by the following Terms & Conditions of Use ("Terms").

B-School reserves the right to amend these Terms at any time. Member will be notified by email of material changes to these Terms.

Member's account may be terminated without notice at any time for failure to abide by any of these Terms.

MEMBERSHIP


Membership is limited to individuals over the age of 18.

Member is responsible for keeping Member's password secure and may not use another Member's account.

Member must use either Member's real name or Member's legal business name on Member's profile. Neither anonymous membership nor impersonation is permitted.

Members must maintain a website, blog or other web presence as proof that Member is in the business of photography.

Member is expected to participate and use the site in the spirit for which it was intended.

Member is required to post an avatar which may be an image of Member or Member's company logo. Images of pets, children, or photos of others are not permitted as avatars.

B-School reserves the right to accept or reject Membership at its sole discretion.

B-School strives to verify that its Members are professional photographers, but B-School is not liable for any loss or claim arising from any damages whatsoever due to actions by or the behavior of its Members, or arising from a Member's relationship with any third-parties as a result of Member's participation in B-School.

By using B-School and becoming a Member, Member acknowledges that B-School reserves the right to charge for the service.

Member may terminate his or her membership at any time.

Use of the B-School is at Member's own risk.

INTERACTIONS AMONG MEMBERS


Member is responsible for all of his or her account activity.

Member is responsible for all of the content he or she uploads, shares or copies.

Member may not use the services provided by B-School for unlawful or prohibited purposes. Following is a partial list of the kind of content that is prohibited by B-School:

i. content that is patently offensive, or that promotes racism, bigotry, hatred or physical harm of any kind against any group, individual, or Member;

ii. content that attacks, harasses or advocates harassment of another person or Member;

iii. content that involves the transmission of "junk mail", "chain letters," or unsolicited mass mailing or "spamming";

iv. content that promotes information that Member knows is false or misleading, or that promotes illegal activities

v. content that promotes the illegal or unauthorized copying of another person's copyrighted work, for example, providing pirated computer programs or links to such programs, providing information to circumvent manufacturer-installed copy-protect devices, or providing pirated music or links to pirated music files;

vi. content that contains restricted or password-only access pages or hidden pages or images not linked to or from another accessible page;

vii. content that exploits people under the age of 18 in a sexual or violent manner, or solicits personal information from anyone under 18;

viii. content that depicts pornography of any sort;

ix. content that provides instructional information about illegal activities such as making or buying illegal weapons, violating the privacy of another, or providing or creating computer viruses;

x. content that solicits passwords or personal identifying information for commercial or unlawful purposes from other Members;

xi. content that involves commercial activities and/or sales without the prior express written consent of B-School. This prohibition includes, but is not limited to, contests, sweepstakes, barter, advertising, or pyramid schemes.

xii. content or conduct that is abusive, threatening, obscene, defamatory or libelous;

Member must not transmit any virus, code, worm, data or any other file of a destructive nature.

B-School will not be moderated for content. B-School expects the Members to police themselves and act in accordance with the these Terms.

If Member violates these Terms or otherwise disrupts the community, Member is subject to detention, suspension or expulsion from B-School without prior notice and without refund of any fees paid. Upon Member being detained, suspended, or expelled, B-School will send a Notice of Detention, Suspension or Expulsion to the registered email address provided by Member at registration.

Automated use of the B-School system by a Member, such as using scripts to add friends, is prohibited.

SERVICES


B-School strives to ensure that the service is available 24 hours a day, however B-School may occasionally be interrupted for upgrades or unforeseen technical difficulties, and B-School shall not be liable for any modification, suspension or disruption of the service for any reason.

B-School may, but has no obligation to remove any unlawful content or account deemed not in the best interest of the service.

By submitting a submissions to B-School, Member grants B-School a perpetual, irrevocable, worldwide, non-exclusive, royalty-free, sublicensable and transferable license to use, reproduce, distribute, prepare derivative works of, display, and perform such submissions in connection with the B-School Website and B-School's business, including without limitation for promoting and redistributing part or all of the B-School Website (and derivative works thereof) in any media formats and through any media channels. Member understands and agrees that B-School may retain server copies of submissions that have been removed or deleted.

Member hereby grants each user of B-School a perpetual, irrevocable, and non-exclusive license to access Member's submissions through the B-School website, and to use, reproduce, distribute, display and perform such submissions as permitted through the functionality of the B-School website and under these Terms. 

PRIVACY POLICY


B-School is committed to safeguarding Member's privacy.

Member's name and state or province will be listed in the Member Profile. B-School will undertake reasonable efforts to protect the Member Profiles from the non-Member public, from spambots, and from search engines.

Member phone numbers are not posted online, and are only retained by B-School for contact purposes. Personal information will not be provided, or sold for solicitation to vendors, or persons outside B-School.

OTHER LEGAL MATTERS


These Terms shall be governed by and construed in accordance with the laws of the State of California. Any dispute between Member and B-School shall be adjudicated in courts within the state of California.

All trademark brands and service names used in this service which identify B-School are proprietary marks of B-School, a California Corporation.

B-School may provide external links to other websites, but B-School does not endorse or assume responsibility for the content or availability of any other website.

Member agrees to indemnify and hold B-School, its subsidiaries, affiliates, officers, agents, partners and employees harmless from any loss, liability, claim, or demand, including reasonable attorney's fees, made by any third party due to, or arising out of, Member's use of the B-School service in violation of these Terms.

FEES


The right of access granted under these Terms is effective only upon payment of the subscription fees, which are non-refundable, other than as expressly provided herein.

B-School offers three (3) subscription plans: "Per Month", "Annual", and "Private School".

The "Per Month" plan is a monthly subscription plan. The Per Month subscription automatically renews. B-School will charge the subscription fees to Member's credit card, every one-month period unless Member cancels the subscription as set forth herein. The Per Month subscription shall renew automatically each month, and B-School will charge the monthly subscription fees, on the same date of each corresponding month. If a particular month does not include the date, B-School will charge the monthly subscription fees on the final date of that month. For example, a monthly subscription commencing on January 31, 2009 will be renewed, and the monthly subscription fees charged, on February 28, 2009.

The "Annual" plan is an annual subscription plan. The Annual subscription automatically renews and B-School will charge the subscription fees to Member's credit card on the same date of each corresponding year unless Member cancels his or her subscription as set forth herein. For example, an Annual subscription commencing on May 1, 2009 will be renewed automatically, and the Annual or Premium subscription fees charged, on May 1, 2010.

The "Private School" plan is a one time subscription fee plan, and Member will never be billed again for access to B-School. 

Any plan may be canceled by Member by notifying B-School in an e-mail sent to support@thebschool.com, but any fees paid, including those for Private School, are non refundable. 

If Member received any discount, rebate or other special offer on the Member's initial Per Month, Annual or Private School subscription, B-School will renew Member's subscription at the discounted subscription rate.

Discounted Memberships and special offers are valid only for the term specified on B-School's offer materials.

B-School may increase subscription fees at any time and for any reason, and such increased fees shall be applicable to any new subscription or re-subscription.

AFFILIATE PROGRAM


This Affiliate Program (the “Agreement”) is made between The B-School, Inc, a California Corporation ([ b ] School or TbS), and you, as an Affiliate utilizing the [ b ] School referral rewards program (“You”, “Your”, “Affiliate”)

Your participation in our Affiliate Program is consent that you agree fully with these terms. If you do not agree with these terms, do not use this service.

The following agreement is summarized as follows:
  • You will not be paid by cash, check for your referrals.
  • Instead, you will accumulate “[ b ] School Bucks” to “b$B”, which are redeemable towards your membership dues or for use in our [ b ] School Store (coming soon).
  • You shall not SPAM. We will terminate your account on the first offense. This is your only warning. We cannot stress enough how serious we are about this. Do not spam via email, Facebook, Twitter or any other social network.
  • Your account must be in good standing to accumulate commissions and to participate in this program. If you’re membership lapses, your [ b ] School bucks will be forfeited. If you account is not in good standing, any referrals sent by your affiliate code, will not be credited to your account.
  • Monthly members will earn 10% of the revenue collected from new subscribers. The percentage is based on the actual amount that was paid for tuition. If the new member uses a coupon code and pays less that the $20 monthly fee, for example enrolls at a rate of $15 per month, Your commission would be $1.50 per each month that member stays enrolled.
  • Yearly members will earn 15% of the revenue collected from new subscribers. The percentage is based on the actual amount that was paid for tuition. If the new member uses a coupon code and pays less that the $20 monthly fee, for example enrolls at a rate of $15 per month, Your commission would be $2.25 per each month that member stays enrolled.
  • Private School members will earn 20% of the revenue collected from new subscribers. The percentage is based on the actual amount that was paid for tuition. If the new member uses a coupon code and pays less that the $20 monthly fee, for example enrolls at a rate of $15 per month, Your commission would be $3.00 per each month that member stays enrolled.
  • You may place banners or links within your newsletters, blogs, websites, or other web related content. Remember, DO NOT SPAM.
  • All statistics are collected and calculated by TbS, and are the only valid stats used for determining commissions.
  • You are not going to get rich from this affiliate program, but hopefully it will help offset your your membership dues and perhaps provide somefree or discounted items from our forthcoming store.
  • Fraud is a serious offense and will be treated as such. Fraud is defined as any action that intentionally attempts to create sales, leads, or commissions for the sole purpose of creating commissions. ANY ATTEMPTED FRAUD OR FRAUD WILL RESULT IN MEMBERSHIP TERMINATION AND VOIDED COMMISSIONS AND IF WARRANTED, REPORTED TO THE APPROPRIATE LAW ENFORCEMENT AGENCY.
  • The [ b ] School hereby grants to you during the Term a non-exclusive, non-transferable, royalty-free license to establish hyperlinks between yours and our Web Sites and to use The [ b ] School’s trade names, logos, trademarks and service marks ("The [ b ] School Marks") on your site solely as is reasonably necessary to establish and promote such hyperlinks and to otherwise perform your obligations under this Agreement; provided, however, that any other promotional materials or usages containing any of the The [ b ] School Marks will be subject to The [ b ] School’s prior written approval.
  • You may only participate in this program if you are legally allowed to in the jurisdiction where you reside.
  • These terms are subject to change at any time without notice. TbS reserves the right to change, modify, add or remove portions of this Agreement at anytime and may add to, change, suspend any aspect of this service at any time.
